INDIVIDUAL TEACHER LICENSE AGREEMENT


Each purchase provides a license to one individual educator. Additional educators, schools, departments, or districts must purchase the appropriate additional license before accessing or using the curriculum. Schools or districts seeking a site- or district-wide license should contact BAM Digital Media LLC directly — see Section 16.

1. Agreement and Acceptance

This Individual Teacher License Agreement (the “Agreement”) is a legal agreement between you, an individual educator (“Licensed Educator,” “you,” or “your”), and BAM Digital Media LLC (“BAM,” “we,” “us,” or “our”), the owner of the Smart With Screens™ curriculum and trademark.

By purchasing, downloading, accessing, or using any Smart With Screens™ curriculum materials, you confirm that you have read, understood, and agree to be bound by this Agreement. If you do not agree to these terms, do not complete your purchase, and do not access or use the materials.

This Agreement is presented for acceptance at checkout in the form: “I have read and agree to the Smart With Screens™ Individual Teacher License Agreement.” Completing the purchase constitutes acceptance of this Agreement.

A copy of this Agreement is included in the curriculum folder delivered to you as your permanent record.

2. Definitions

“Licensed Educator” means the individual educator who purchased the curriculum, identified by the name and email address provided at checkout.

“Licensed School” means the school where the Licensed Educator is currently teaching and using the curriculum. The Licensed School changes if and when the Licensed Educator changes schools, as described in Section 13.

“Purchased Product” means the specific Smart With Screens™ curriculum module or bundle identified on the Licensed Educator’s order receipt, currently offered as:

  • Digital Foundations (4-lesson module)
  • Digital Detective (4-lesson module)
  • Building Your Digital Future (4-lesson module)
  • The Complete Curriculum (all modules)

“Curriculum Materials” means the presentation decks, teacher guides, student study guides, family letters, administrative materials, and any other files included in the Purchased Product, together with any updates BAM makes available to the Licensed Educator under Section 11.

3. Individual Teacher License Grant

Your purchase provides one license for one educator.

Subject to your compliance with this Agreement, BAM grants you a limited, non-exclusive, non-transferable license to use the Curriculum Materials to provide instruction to students you personally teach.

This license covers all students directly taught by the Licensed Educator, regardless of the number of class periods, sections, or total enrollment — you do not need additional licenses because you teach multiple classes or a large number of students.

This license may not be transferred, shared, or extended to another educator, department, school, or district. Each additional educator who wishes to use the Curriculum Materials must obtain their own license.

4. Permitted Classroom Uses

The Licensed Educator may:

  • present, teach, and display the Curriculum Materials to students in the classroom, in person or via live remote instruction;
  • print copies of student-facing materials for distribution to students currently taught by the Licensed Educator;
  • make minor formatting adjustments reasonably necessary for classroom delivery (e.g., adjusting slide pacing, print layout, or accessibility accommodations), provided the substantive educational content and all attribution remain intact.

5. Student Distribution and LMS Use

Student-facing materials (such as student study guides and any other materials designed for direct student use) may be uploaded to password-protected learning management systems — including Google Classroom, Canvas, and Schoology — for access by students currently taught by the Licensed Educator.

Teacher-only materials — including teacher guides, answer keys, assessments with answers included, presentation source files, and any other materials not designed for direct student use — may not be made accessible to students or to any educator who does not hold their own license.

6. Collaboration with Support Staff

Instructional coaches, paraprofessionals, special education teachers, ELL/MLL specialists, and substitute teachers may access the Curriculum Materials as reasonably necessary to support the Licensed Educator’s students — for example, a paraprofessional co-teaching a class, or a substitute covering the Licensed Educator’s classroom for a day.

This accommodation does not grant these individuals an independent license. Access must remain tied to supporting the Licensed Educator’s own students, not to independent use in their own classroom or with their own students.

7. Prohibited Sharing and Redistribution

The Licensed Educator may not:

  • give Curriculum Materials to another teacher who does not hold their own license;
  • place Curriculum Materials in a faculty-wide or school-wide shared drive, folder, or repository;
  • upload Curriculum Materials to any publicly accessible website, social media platform, or LMS not restricted to the Licensed Educator’s own students;
  • sell, rent, lease, or otherwise redistribute the Curriculum Materials for consideration;
  • remove, obscure, or alter any BAM or Smart With Screens™ branding, copyright notice, or trademark;
  • upload the Curriculum Materials, in whole or in part, to any artificial intelligence or machine learning system for training, fine-tuning, or model development; or
  • use the Curriculum Materials, in whole or in part, to create another product or curriculum for distribution to others.

8. Intellectual Property Ownership

BAM owns all right, title, and interest in and to the Curriculum Materials, including all copyright, trademark, and other intellectual property rights. Purchasing a license does not transfer any ownership of the Curriculum Materials to the Licensed Educator — it grants only the limited rights of use expressly described in this Agreement. All rights not expressly granted are reserved by BAM.

9. Curriculum Modifications

Beyond the minor formatting adjustments described in Section 4, the Licensed Educator may not alter, edit, or create derivative versions of the Curriculum Materials for distribution or use by anyone other than their own students. Substantive changes to lesson content, removal of attribution, or repackaging of the materials as a different product are not permitted.

10. Digital Delivery

Curriculum Materials are delivered electronically to the email address provided at checkout. The Licensed Educator is responsible for providing an accurate email address and for maintaining secure access to the delivered materials. BAM is not responsible for delivery failures caused by an incorrect email address or the Licensed Educator’s email provider.

11. Updates and Future Versions

BAM may, from time to time, provide corrections, minor updates, or improvements to the version of the Purchased Product the Licensed Educator has already purchased, at no additional cost. This Agreement does not entitle the Licensed Educator to future major versions, additional modules, or annual curriculum releases beyond the Purchased Product — those may be offered as separate purchases.

12. Refund Policy

Because the Curriculum Materials are digital and are delivered immediately upon purchase, all sales are final. BAM does not offer refunds once the Curriculum Materials have been delivered to the email address provided at checkout.

13. Term and Termination

This is a one-time purchase, not a subscription. Once purchased, the Licensed Educator may continue using the version of the Purchased Product delivered to them for as long as they are actively teaching, subject to compliance with this Agreement.

13.1 Change of school. The license is tied to the Licensed Educator, not to any particular school. If the Licensed Educator changes schools or employers, they may continue using the Curriculum Materials in their new classroom. The Curriculum Materials may not remain with, or be used by, the former school after the Licensed Educator’s departure, unless that school separately purchases its own applicable license.

Note: this Agreement currently assumes the Licensed Educator personally purchased the license; school- or district-funded purchases are not yet separately addressed here. This point is still under review.

13.2 Termination for breach. BAM may terminate this license immediately upon written notice if the Licensed Educator materially breaches this Agreement, including the restrictions in Section 7. Upon termination, the Licensed Educator must permanently delete all copies of the Curriculum Materials in their possession, other than copies already distributed to individual students prior to termination.

14. Disclaimer and Limitation of Liability

THE CURRICULUM MATERIALS ARE PROVIDED “AS IS,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. BAM DOES NOT WARRANT THAT THE CURRICULUM MATERIALS WILL MEET ANY PARTICULAR EDUCATIONAL OUTCOME, STANDARD, OR REGULATORY REQUIREMENT APPLICABLE TO THE LICENSED EDUCATOR OR THEIR SCHOOL. THE LICENSED EDUCATOR IS RESPONSIBLE FOR REVIEWING THE CURRICULUM MATERIALS BEFORE CLASSROOM USE AND FOR DETERMINING THEIR SUITABILITY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BAM’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE CURRICULUM MATERIALS SHALL NOT EXCEED THE AMOUNT THE LICENSED EDUCATOR PAID FOR THE PURCHASED PRODUCT. BAM IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM USE OF THE CURRICULUM MATERIALS.

15. Governing Law

This Agreement is governed by the laws of the State of New York, without regard to its conflict-of-laws principles.
